Terms of Service

These Terms of Service ("Terms") govern your use of Lipi Commerce, a platform operated by Lipi Technologies, a registered business name of Sambasiva Group Private Limited (CIN U53200AP2025PTC122731; PAN ABSCS1047F; GSTIN 37ABSCS1047F1Z4), a company incorporated under the Companies Act, 2013 ("we", "us", or "Company"). By registering for or using Lipi Commerce, you agree to be bound by these Terms.

1. Services

Lipi Commerce provides merchants with an e-commerce platform including an online storefront, order management, payment processing integrations, WhatsApp commerce, and related tools (the "Services"). Services are provided on a subscription basis as described at the time of registration.

2. Eligibility

You must be at least 18 years old and legally authorised to operate a business to use Lipi Commerce. By accepting these Terms you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised access.

4. Fees and Billing

Subscription fees are charged monthly and debited from your prepaid wallet balance. A commission of 1% of each sale processed through the platform is also debited from the wallet. Fees are non-refundable except where required by law. Your store may be suspended if your wallet balance is insufficient to cover fees.

A refundable security deposit is collected at onboarding and held for a minimum of six (6) months before being credited back to your spendable balance.

5. Merchant Obligations

• You must comply with all applicable laws, including consumer protection, tax, and data protection laws.
• You are solely responsible for the accuracy of product listings, pricing, and inventory.
• You must not use the platform for unlawful, fraudulent, or deceptive activities.
• You must maintain sufficient stock to fulfil orders placed through your store.
• You must honour all orders placed by customers before cancellation.

6. WhatsApp Commerce

When you connect a WhatsApp Business Account to Lipi Commerce, you agree to Meta's WhatsApp Business Terms of Service and WhatsApp Commerce Policy in addition to these Terms. You are responsible for ensuring your use of WhatsApp Commerce complies with Meta's policies. We reserve the right to disable WhatsApp Commerce features if your use violates Meta's policies or applicable law.

7. Intellectual Property

Lipi Commerce and its underlying technology remain the exclusive property of Sambasiva Group Private Limited. You retain ownership of your product data and customer information. You grant us a limited licence to use your store data solely to provide the Services.

8. Limitation of Liability

To the maximum extent permitted by law, Sambasiva Group Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim shall not exceed the fees paid by you in the three (3) months preceding the claim.

9. Suspension and Termination

We may suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to the platform or other users. You may terminate your account at any time by contacting us; fees already debited are non-refundable.

10. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or the platform dashboard. Continued use of the Services after the effective date of changes constitutes acceptance.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Vuyyuru, Andhra Pradesh, India.
